These Terms of Service ("Terms") govern your access to and use of FleetKestrel.com and the FleetKestrel platform (collectively, the "Service"), operated by LabFactory AI LLC, an Illinois limited liability company ("LabFactory," "we," "us," or "our"). By applying for access, creating an account, or using the Service, you agree to be bound by these Terms.
The Service is currently available by invitation only. Submission of an application does not guarantee access. We reserve the right to approve or decline any application at our sole discretion. Qualified applicants will receive a trial activation link by email.
To use the Service, you must be at least 18 years of age, provide accurate and complete information during application and account setup, be operating a vehicle rental fleet as a business or for commercial purposes, and maintain the security of your account credentials. You are responsible for all activity that occurs under your account.
You agree to use the Service only for lawful purposes and in accordance with these Terms.
The following are explicitly prohibited. This list is illustrative, not exhaustive. We may determine that similar conduct not listed here violates these Terms when it is designed to evade these restrictions or threatens the security, availability, proprietary data, analytical methodology, or legitimate operation of the Service.
Automated data extraction: You may not use bots, scrapers, crawlers, spiders, scripts, browser automation tools (including but not limited to Playwright, Puppeteer, Selenium, or Chrome DevTools Protocol), or any other automated means to access, extract, copy, or aggregate data from the Service — including benchmark data, analytical outputs, market intelligence, or any other content generated by the platform. This prohibition applies regardless of whether your account is otherwise in good standing.
Benchmark data reconstruction: You may not systematically query the Service — whether manually or through automation — for the purpose of reconstructing, replicating, or approximating FleetKestrel's proprietary benchmark dataset in whole or in part. The benchmark dataset, including all market ADR data, utilization rates, capital recovery curves, and derived analytics, is the intellectual property of LabFactory AI LLC.
Competitive intelligence harvesting: You may not use the Service in a systematic or large-scale manner to analyze, document, or replicate FleetKestrel's proprietary analytical methodologies, pricing logic, AI prompt structure, MDR calculation framework, demand curve approach, or benchmark datasets for the purpose of developing, operating, or marketing a competing product or service. Nothing in this section restricts lawful competitive activity based on information obtained independently and outside the Service.
Reverse engineering: You may not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, formulas, or methodology underlying any feature of the Service, including but not limited to the Minimum Daily Rate floor calculation, the Discount Safety Analysis framework, the capital recovery curve model, or the Ask FleetKestrel AI intelligence layer.
Unauthorized account use: Your subscription authorizes you to use the Service for the analysis of your own fleet vehicles and, if applicable, vehicles you manage as a co-host under a disclosed co-hosting arrangement. You may not use a single account to run analysis on behalf of multiple unrelated clients, third-party fleets, or for the purpose of reselling FleetKestrel's analytical outputs as a service without our prior written consent.
Account sharing and credential transfer: You may not share your account credentials with any third party, transfer your account to another person, or allow any person other than yourself to access the Service using your credentials.
Platform integrity: You may not attempt to probe, scan, or test the vulnerability of the Service or any related system or network. You may not introduce any virus, trojan, worm, logic bomb, or other malicious or technologically harmful material into the Service.
False or misleading use: You may not provide false or misleading information during the application process or at any point during your use of the Service.
Prohibited data use: You may not use data, outputs, or analytical results obtained through the Service for any purpose that violates applicable law or infringes the intellectual property rights of LabFactory AI LLC or any third party.
Violation of Section 1.4 may result in immediate suspension or termination of your account without notice or refund. We reserve the right to pursue all available legal remedies for violations that cause harm to LabFactory AI LLC, FleetKestrel users, or the integrity of the platform's proprietary data and methodology.
We may monitor usage patterns for security, compliance, fraud prevention, and Terms enforcement purposes, subject to our Privacy Policy. Anomalous usage patterns — including but not limited to unusually high query volume, systematic data extraction behavior, or usage inconsistent with legitimate fleet management purposes — may result in account review, suspension, or termination.
Qualified applicants may receive access to a 14-day free trial of the Service. To activate the trial, a valid credit or debit card is required. Your card will not be charged during the 14-day trial period.
At the end of the 14-day trial period, your subscription will automatically convert to a paid subscription and your card on file will be charged the applicable subscription fee unless you cancel before the trial period ends. It is your responsibility to cancel before the trial period ends if you do not wish to be charged.
Before you submit your payment information, the Stripe checkout flow will display the subscription price, billing interval, trial end date, automatic renewal terms, and cancellation method. Upon activation, you will receive a confirmation email that includes your trial end date, the applicable subscription fee that will be charged at renewal, and instructions for how to cancel.
You may cancel your subscription at any time before the trial period ends through the billing portal link provided in your activation confirmation email, or by contacting us at support@fleetkestrel.com. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for partial billing periods.
Subscription pricing is displayed on the Stripe checkout page before your card is submitted. We reserve the right to change pricing with 30 days' notice to active subscribers. Price changes will not apply to your current billing period.
All payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's Terms of Service. LabFactory AI LLC does not store your full payment card details.
FleetKestrel provides fleet capital intelligence tools including per-vehicle profit and loss analysis, pricing intelligence, discount safety analysis, fleet triage, and acquisition modeling. The Service is designed to help fleet operators make more informed decisions about their vehicle rental operations.
The outputs of the Service — including per-vehicle P&L calculations, minimum daily rate floors, discount safety scores, capital recovery curves, and all other analytical outputs — are informational tools intended to support your own decision-making. They do not constitute financial advice, investment advice, legal advice, tax advice, or any other professional advisory service. You are solely responsible for any decisions you make based on information provided by the Service.
The accuracy of the Service's outputs depends on the accuracy and completeness of the data you provide. Benchmark data is derived from aggregated, anonymized fleet data and publicly available market information. Benchmarks are updated periodically but may not reflect real-time market conditions. Benchmark data is provided for directional intelligence purposes only.
FleetKestrel is an independent platform. We are not affiliated with, endorsed by, or partnered with Turo Inc. or any other car-sharing marketplace.
Certain features of the Service, including the Ask FleetKestrel intelligence layer, are powered by third-party AI language models. AI-generated outputs are analytical aids, not authoritative determinations. You should review all AI-generated content critically and not rely on it as a sole basis for any significant financial or operational decision.
You retain ownership of all fleet data, financial data, and other information you submit to the Service. By submitting your data, you grant LabFactory AI LLC a non-exclusive, worldwide, royalty-free license to use, process, store, and analyze your data for the purpose of providing the Service to you and, in anonymized non-identifiable form, for the purpose of improving and maintaining our benchmark intelligence dataset. See our Privacy Policy for full details on data retention and deletion.
The Service, including all software, algorithms, analytical frameworks, design, text, graphics, and other content, is owned by LabFactory AI LLC and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal fleet management purposes during the term of your subscription. You may not copy, modify, distribute, sell, sublicense, or reverse engineer the Service or any component thereof.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LABFACTORY AI LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS IMMEDIATELY PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless LabFactory AI LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Service, your violation of these Terms, or any data you submit to the Service.
You may terminate your account at any time by contacting us at support@fleetkestrel.com. Termination takes effect at the end of your current billing period.
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, provided false information during application, or engaged in conduct harmful to the Service or other users. In such cases, no refund will be issued for any remaining prepaid subscription period.
If we terminate your account for our own convenience without cause, we will provide a prorated refund of any prepaid subscription fees for the unused portion of your current billing period.
Upon termination, your license to use the Service ends immediately. Sections 3.2, 4, 5, 6, 7, 8, 10, and 11 survive termination.
Before initiating any formal proceeding, you agree to contact us at support@fleetkestrel.com and attempt to resolve the dispute informally. We will attempt to resolve any dispute within 30 days of receiving your notice. These Terms are governed by the laws of the State of Illinois. Any dispute not resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and LabFactory AI LLC regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. We may update these Terms from time to time with 14 days' notice to active users for material changes.
